ModuCoda Commercial License Agreement

COMMERCIAL LICENSE TERMS

This Commercial License Agreement ("Agreement") is entered into between you 
("Licensee") and the copyright holders of ModuCoda ("Licensor").

1. GRANT OF LICENSE

Subject to the terms and conditions of this Agreement, Licensor hereby grants 
to Licensee a non-exclusive, non-transferable, revocable license to use, 
modify, and distribute ModuCoda for commercial purposes without the source 
code disclosure requirements of the AGPL-3.0 license.

2. COMMERCIAL USE RIGHTS

Under this commercial license, you may:
- Deploy ModuCoda on your servers without source code disclosure
- Modify ModuCoda for your specific needs
- Integrate ModuCoda into proprietary software
- Distribute ModuCoda as part of commercial products
- Use ModuCoda in Software-as-a-Service (SaaS) offerings

3. RESTRICTIONS

You may not:
- Sublicense, sell, or distribute this commercial license to third parties
- Remove or alter any copyright notices or license terms
- Use the ModuCoda name or trademarks without explicit permission
- Reverse engineer the software beyond what is necessary for interoperability

4. SUPPORT AND MAINTENANCE

This license does not include support or maintenance services. Such services 
may be available under separate agreements.

5. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR 
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, 
FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER 
LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, 
OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE 
SOFTWARE.

7. TERMINATION

This license is effective until terminated. It will terminate immediately 
without notice if you fail to comply with any provision of this Agreement.
